Terms of Service
Product: QuantCode ("the Service") Seller: QuantCode ("we", "us", "our") Contact: support@getquantcode.com Effective date: 5 November 2026 Governing law: the People's Republic of China
1. Who we are and what this agreement covers
These terms form a binding agreement between you and QuantCode for use of the QuantCode website and hosted application (together, "the Service").
They apply from the moment you create an account, start a free trial, or subscribe. If you do not accept them, do not use the Service.
2. What the Service is
QuantCode is a hosted educational workspace for learning to write and evaluate quantitative trading code in Python. You describe or write a strategy, run it against historical market data, and read a report describing what that historical simulation would have produced.
The Service is educational software. It is not:
- a trading system, broker, exchange, custodian or order-routing service;
- a signal service, copy-trading service or portfolio manager;
- a recommendation engine, and it produces no personalised recommendation;
- financial, investment, legal, tax or accounting advice;
- a guarantee, forecast or prediction of any market outcome.
No part of the Service can place, modify or cancel an order. It holds no exchange credentials, connects to no trading account, and has no code path that can move money.
3. Who may use it
You must be at least 18 years old (or the age of majority where you live), and legally able to enter into a contract. If you use the Service for a company, you confirm you are authorised to bind that company.
You are responsible for complying with the laws that apply to you, including any restriction on importing technical software, receiving services from abroad, or making cross-border payments.
The Service is not directed at, marketed to, or intended for residents of mainland China, and it does not provide securities investment consulting services in any jurisdiction. If you access it from a place where doing so would be unlawful, you do so on your own initiative and are solely responsible for compliance.
4. Your account
- You must register to use the Service, including during a free trial. There is no anonymous or guest mode.
- You must give a working email address you control. One account per person.
- You are responsible for keeping your password confidential and for everything done through your account. Tell us at support@getquantcode.com if you believe it has been compromised.
- We may suspend or close an account that we reasonably believe is being used to attack the Service, to resell access, or to break these terms.
5. Free trial
The trial is a free, limited, revocable evaluation licence, not a purchase.
- It runs for the period and usage caps shown on the pricing page at the time you start it. Caps are enforced per account.
- It requires no card and never converts into a paid subscription automatically. Nothing is charged unless you separately complete a checkout.
- It may be modified, limited or withdrawn at any time.
- Data and saved strategies created during the trial may be deleted when it ends.
6. Subscription, billing and renewal
Access after the trial is sold as one monthly subscription at USD 19 per month. There are no other tiers, no annual plan, no credit packs and no add-ons.
- The subscription renews automatically each month until cancelled.
- The seller of record is our payment provider, acting as merchant of record (currently Paddle). Your payment contract for the subscription is with that provider, not directly with us: it processes the card, issues the receipt, calculates and remits any sales tax or VAT, and is the party that handles refunds and payment disputes. Its own buyer terms apply alongside these terms.
- We never receive or store your full card number, bank details or payment credentials.
- We may change the price with at least 30 days' notice before your next renewal. If you do not cancel before that renewal, the new price applies from it.
- If a renewal payment fails, the provider may retry it and we may suspend access after a short grace period. Access resumes when payment succeeds.
- Immediate access and the EU right of withdrawal. The Service is digital content supplied immediately. At checkout you are asked to confirm that you want access to begin straight away and that you understand you lose the 14-day right of withdrawal once supply has started. If you do not give that confirmation, access begins only after the withdrawal period has expired. This is the mechanism referred to in section 4 of the Refund Policy, and the confirmation is recorded with the order.
7. Cancellation
You can cancel at any time from the subscription link in your receipt or by writing to support@getquantcode.com.
- Access continues until the end of the period you have already paid for.
- There is no cancellation fee, no retention call and no minimum term.
- Cancelling stops future charges. It does not by itself refund the current period — see the Refund Policy.
- Deleting your account does not cancel a subscription. Cancel first, then delete.
8. Refunds
Refunds are governed by the Refund Policy, which forms part of these terms.
9. Acceptable use
You agree not to:
- use the Service to give investment advice to other people, or to present its output as a recommendation, a forecast, or evidence that a strategy will be profitable;
- connect the Service to a live trading account, or use its output as the sole basis for a real-money trade;
- resell, sublicense, rent or otherwise provide access to the Service to anyone else, or use one account from multiple people at once;
- probe, scan or test the security or load-bearing capacity of the Service, attempt to bypass usage limits or the subscription gate, or access another customer's data;
- submit code intended to reach the filesystem, the network, other processes, other customers' data, or the host environment;
- reverse engineer, scrape or bulk-extract the Service or its market data, or use automated means to generate accounts;
- upload unlawful, infringing or malicious content, or use the Service to break any law that applies to you.
We may suspend access immediately, without refund, if we reasonably believe you have done any of these things.
10. Educational purpose and no financial advice
This section is the core of the product and should be read before anything else.
- Every number the Service produces describes a historical simulation on past data. It is not a forecast. Past results — including good ones — say nothing reliable about future results, and most published strategies do not survive out-of-sample or live conditions.
- A backtest is only as good as its assumptions. Slippage, fees, funding, liquidity, exchange outages, data errors and your own execution are not fully modelled, and any of them can turn a profitable-looking curve into a loss.
- You are solely responsible for any decision you take. We do not know your financial situation, your objectives or your risk tolerance, and nothing here is tailored to you.
- Do not trade real money on the basis of this Service's output. If you choose to do so anyway, you do it entirely at your own risk, and you accept that losses are yours alone.
- We are not your adviser, fiduciary, broker or agent, and no such relationship arises from your use of the Service or from any communication with us.
11. Third-party market data
Historical candles come from third-party public interfaces. We do not create the data, do not guarantee its accuracy, completeness or availability, and may change or lose a data source without notice. The data is provided for study within the Service and is not licensed to you as a data product: you may not extract it, redistribute it or resell it, separately or as part of another product.
12. Your content and the code you generate
- You keep all rights to the code you write and to the strategy descriptions you submit.
- Code produced for you by the Service's writing feature is yours to use, modify and keep, including commercially. It is generated text, not a curated recommendation, and it may be wrong, incomplete or unsuitable — read it before you run it, and test it yourself. We give no warranty that it does what its comment says.
- You grant us only the limited licence needed to operate the Service: to store your saved strategies and settings, and to process what you submit so we can return a result. We do not publish your strategies or use them to build a product.
- You confirm you have the right to submit anything you submit.
13. Our intellectual property
The Service — its code, interface, written material, charts and reports — is owned by us or our licensors and protected by copyright and other laws. We grant you a personal, non-exclusive, non-transferable, revocable licence to use the Service during your subscription, for its intended educational purpose. No other rights are granted.
Third-party components are used under their own open-source licences; the notices are published with the Service and those licences continue to govern those components.
14. Availability and changes
The Service is provided on an "as available" basis. We may change, suspend or discontinue any part of it, including features and data sources, and we do not promise uninterrupted or error-free operation. We aim to give reasonable notice of material changes that reduce what you have paid for, and where a change removes a core feature during a paid period you may ask for a pro-rata refund of that period.
15. Disclaimer of warranties
To the fullest extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory. We specifically disclaim any implied warranty of merchantability, fitness for a particular purpose, title, accuracy, quiet enjoyment and non-infringement, and any warranty that the Service will be uninterrupted, secure or error-free, or that any strategy, backtest, report or generated code will produce a particular result or be suitable for any purpose.
Nothing in the Service is a promise about markets, prices, returns, drawdowns, win rates or the performance of any strategy. Any figure you see is a description of the past under stated assumptions.
16. Limitation of liability
To the fullest extent permitted by law:
(a) We are not liable for any indirect, incidental, special, consequential, exemplary or punitive loss, or for any loss of profit, revenue, trading capital, good will, business opportunity, data or anticipated savings, however caused and whether or not we were told such loss was possible.
(b) We are not liable for any loss arising from: your trading decisions or those of anyone using output you obtained from the Service; market movements; the acts or omissions of any exchange, broker or data provider; your failure to keep your account secure; or any content you or a third party submit.
(c) Our total aggregate liability arising out of or in connection with the Service or these terms is limited to the greater of (i) the total amount you actually paid us for the Service in the twelve months immediately before the event giving rise to the claim, and (ii) USD 100.
(d) This section does not exclude or limit our liability for fraud, for wilful misconduct or gross negligence, for death or personal injury caused by our negligence, or for any other liability that cannot lawfully be excluded or limited. If a jurisdiction does not allow one of the exclusions above, that exclusion does not apply to you and the rest of this section continues to apply.
(e) Nothing in these terms affects mandatory consumer rights you have under the law of your country of residence, to the extent those rights cannot be waived.
17. Indemnity
You agree to indemnify and hold harmless QuantCode and its contractors against any claim, demand, loss, liability, cost or expense (including reasonable legal fees) arising from: (a) your breach of these terms; (b) content or code you submit; (c) your use of the Service to trade, advise or provide services to others; or (d) your breach of any law or third-party right.
18. Termination
- You may stop using the Service and delete your account at any time.
- We may suspend or terminate your access for a material breach of these terms, for non-payment, or where we are required to by law. Where the breach is curable we will normally give notice and a reasonable chance to fix it.
- On termination your right to use the Service ends. Sections 10, 12, 13, 15, 16, 17 and 19 survive.
19. Governing law and disputes
These terms are governed by the laws of the People's Republic of China, without regard to its conflict-of-law rules, and without prejudice to any mandatory consumer protection you have where you live.
Before starting formal proceedings, you agree to write to support@getquantcode.com and allow 30 days for us to try to resolve the matter.
Disputes that are not resolved in that period are finally settled by arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) under its rules, seated in Beijing, in English, before one arbitrator. The award is final and binding and may be enforced in any court of competent jurisdiction. Nothing in this section stops either party from seeking urgent interim relief from a competent court, and nothing prevents a consumer from bringing a claim in the courts that mandatory law gives them the right to use.
20. General
- Assignment. You may not assign these terms. We may assign them to a successor of the business or to an entity that acquires the Service.
- Severability. If a provision is unenforceable, it is limited or removed to the minimum extent necessary and the rest remains in force.
- No waiver. Not enforcing a provision once does not waive it.
- Entire agreement. These terms, the Refund Policy, the Privacy Policy and the payment provider's buyer terms are the whole agreement on this subject.
- Language. These terms are drafted in English. A translation, if provided, is for convenience only; the English version prevails on any conflict.
- Changes. We may update these terms. Material changes are notified by email or in the app at least 14 days before they take effect, and continuing to use the Service after that date means you accept them.
